usually 6 <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">or 7 percent of the purchase price &#8212; every time they sell a home.<\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">Therefore, they dislike <\/span><span style=\"font-family: Arial;font-size: x-small\">discount<\/span><span style=\"font-family: Arial;font-size: x-small\"> brokers, and particularly\u00a0those who <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">unbundle services and let <\/span><span style=\"font-family: Arial;font-size: x-small\">home sellers <\/span><span style=\"font-family: Arial;font-size: x-small\">pay a flat fee for each <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">service or option package.\u00a0Of course, if\u00a0the <\/span><span style=\"font-family: Arial;font-size: x-small\">realtors conspired together <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">to <\/span><span style=\"font-family: Arial;font-size: x-small\">exclude, punish or otherwise disadvantage cut-rate or fee-for-service <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">brokers, <\/span><span style=\"font-family: Arial;font-size: x-small\">they would violate\u00a0the antitrust laws. <\/span><\/div>\n<div><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\"><img decoding=\"async\" src=\"http:\/\/cyber.law.harvard.edu\/blogs\/static\/ethicalesq\/house4saleneg.gif\" alt=\"house for sale neg\" \/><\/span><span style=\"font-family: Arial;font-size: x-small\"> However,\u00a0realtor\u00a0associations\u00a0have\u00a0found a <span style=\"font-family: Arial;font-size: x-small\">sword <\/span><span style=\"font-family: Arial;font-size: x-small\">against discount brokers<\/span> and a <\/span><span style=\"font-family: Arial;font-size: x-small\">shield against the antitrust laws<\/span><span style=\"font-family: Arial;font-size: x-small\">:\u00a0 They&#8217;ve been\u00a0successfully lobbying<\/span><span style=\"font-family: Arial;font-size: x-small\"> state\u00a0legislators, <\/span><span style=\"font-family: Arial;font-size: x-small\">who have\u00a0dutifully enacted so-called &#8220;<em><strong>minimum service laws<\/strong><\/em>&#8221; (in the <\/span><span style=\"font-family: Arial;font-size: x-small\">name of consumer protection, of course),\u00a0which require brokers<\/span><span style=\"font-family: Arial;font-size: x-small\"> to <\/span><span style=\"font-family: Arial;font-size: x-small\">provide a\u00a0broad set of services,\u00a0regardless of whether\u00a0the consumer <\/span><span style=\"font-family: Arial;font-size: x-small\">wants or needs <\/span><span style=\"font-family: Arial;font-size: x-small\">them.\u00a0 Because trade associations can lobby without <\/span><span style=\"font-family: Arial;font-size: x-small\">violating the<\/span><span style=\"font-family: Arial;font-size: x-small\"> antitrust laws (under the<span style=\"color: black\"> <\/span><a href=\"http:\/\/www.antitrustinstitute.org\/links\/exempt.cfm#noerr\"><span style=\"color: black\">Noerr-Pennington<\/span><\/a><span style=\"color: black\"> doctrine), and <\/span><\/span><span style=\"font-family: Arial;font-size: x-small\"><span style=\"color: black\">they receive &#8220;<em>Parker<\/em>&#8220;<\/span> or <a href=\"http:\/\/www.antitrustinstitute.org\/links\/exempt.cfm#parker\"><span style=\"color: black\">State Action immunity<\/span><\/a><span style=\"color: black\"> from<\/span> the antitrust laws\u00a0for conduct that is <\/span><span style=\"font-family: Arial;font-size: x-small\">required<\/span><span style=\"font-family: Arial;font-size: x-small\"> under a state law, consumers in many states have no antitrust <\/span><span style=\"font-family: Arial;font-size: x-small\">protection against minimum-service laws, and now face fewer choices <\/span><span style=\"font-family: Arial;font-size: x-small\">and higher fees<\/span><span style=\"font-family: Arial;font-size: x-small\"> when they sell or buy a home.<\/span><\/div>\n<div><\/div>\n<p><span style=\"font-family: Arial;font-size: x-small\">Oklahoma passed a minimum-services law in June,\u00a0and its\u00a0realtors <\/span><span style=\"font-family: Arial;font-size: x-small\">seem to be\u00a0maneuvering\u00a0for regulations that are even more restrictive than<\/span><span style=\"font-family: Arial;font-size: x-small\"> the statute <span style=\"color: black\">(&#8220;<\/span><a href=\"http:\/\/www.stewart.com\/news.jsp?newsId=25362\"><span style=\"color: black\">Antitrust\u00a0officials watching minmum service real estate laws<\/span><\/a><span style=\"color: black\">, <\/span><\/span><\/p>\n<div><\/div>\n<p><span style=\"font-family: Arial;font-size: x-small\"><span style=\"color: black\"><em>Inman News<\/em>, Oct. 19, 2005). Texas Gov. Rick Perry signed such a law in June, <\/span><\/span><\/p>\n<div><span style=\"font-family: Arial;color: black;font-size: x-small\">effective Sept. 1, 2005, causing alternative brokers having to increase their<\/span><span style=\"font-family: Arial;font-size: x-small\"> prices <\/span>and remove some options <span style=\"color: black\">(&#8220;<\/span><a href=\"http:\/\/www.stewart.com\/news.jsp?newsId=25267\"><span style=\"color: black\">Flat-fee brokers adapt to new real estate law<\/span><\/a>,&#8221; <span style=\"font-family: Arial;font-size: x-small\"><span style=\"color: black\"><em>Inman News<\/em>, Oct., 12, 2005). Alabama joined the consumer sell-out in August &#8212; <\/span><\/span><span style=\"font-family: Arial;color: black;font-size: x-small\">with realtor clout demonstrated by a 35 &#8211; 0 vote in the Senate and 95 -1 vote <\/span><span style=\"font-family: Arial;font-size: x-small\"><span style=\"color: black\">in the House.\u00a0\u00a0(<\/span><a href=\"http:\/\/www.1loansusa.com\/Real_Estate\/MortgageNews08_11_05\/news9.html\"><span style=\"color: black\">States snub Justice Department&#8217;s antitrust complaints<\/span><\/a> (<em>Inman <\/em><\/span><span style=\"font-family: Arial;font-size: x-small\"><em>News<\/em>, Aug. 10, 2005).\u00a0\u00a0\u00a0 Ohio and Wisconsin are currently <a href=\"http:\/\/www.inman.com\/InmanNews.aspx?ID=48001\">considering<\/a> similar <\/span><span style=\"font-family: Arial;font-size: x-small\">laws.<\/span><span style=\"font-family: Arial;font-size: x-small\"><br \/>\n<\/span><\/div>\n<div><span style=\"color: black\"><span style=\"font-family: Arial;font-size: x-small\"> <\/span><\/span><\/div>\n<p><span style=\"font-family: Arial;font-size: x-small\"> <\/span><span style=\"font-family: Arial;font-size: x-small\"><\/span><\/p>\n<div>\n<div><span style=\"font-family: Arial;font-size: x-small\"><span style=\"font-family: Arial;font-size: x-small\"> <\/span><\/span><a href=\"http:\/\/blogs.law.harvard.edu\/ethicalesq\/files\/2008\/11\/soldsign.jpg\"><img loading=\"lazy\" decoding=\"async\" class=\"alignnone size-medium wp-image-10254\" src=\"http:\/\/blogs.law.harvard.edu\/ethicalesq\/files\/2008\/11\/soldsign.jpg\" alt=\"\" width=\"70\" height=\"64\" \/><\/a><\/div>\n<\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">Although consumer advocacy efforts by the Federal Trade Commission<br \/>\n<\/span><\/p>\n<div><span style=\"font-family: Arial;font-size: x-small\"><span style=\"font-family: Arial;font-size: x-small\"><span style=\"color: black\">and Department of Justice, <\/span><\/span>in each of the above states, have proven <\/span><span style=\"font-family: Arial;font-size: x-small\"><a href=\"http:\/\/www.1loansusa.com\/Real_Estate\/MortgageNews08_11_05\/news9.html\">fruitless<\/a> <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">(<em>e.g.<\/em>, their <a href=\"http:\/\/www.ftc.gov\/opa\/2005\/04\/texasrealestate.htm\"><span style=\"color: black\">Letter<\/span><\/a><span style=\"color: black\"> <\/span><span style=\"color: black\">re Texas legislation earlier this year), the agencies <\/span><\/span><span style=\"font-family: Arial;font-size: x-small\"><span style=\"color: black\">submitted <\/span><\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\"><span style=\"color: black\">a <\/span><a href=\"http:\/\/www.ftc.gov\/os\/2005\/10\/051020commmihousebill4849.pdf\"><span style=\"color: black\">Letter<\/span><\/a><span style=\"color: black\"> this week (<\/span><a href=\"http:\/\/www.ftc.gov\/opa\/2005\/10\/realestate.htm\"><span style=\"color: black\">Press Release<\/span><\/a><span style=\"color: black\">, Oct. 20,<\/span><\/span><span style=\"font-family: Arial;font-size: x-small\"><span style=\"color: black\">2005) to the state Senate in the <\/span><\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\"><span style=\"color: black\">newest battle ground &#8211; Michigan. <\/span><\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\"><\/span><\/div>\n<p><span style=\"font-family: Arial;font-size: x-small\">The FTC\/DOJ Letter to Michigan legislators gives this background (at 4):<\/span><\/p>\n<blockquote><p><span style=\"font-family: Arial;font-size: x-small\">&#8220;It is becoming increasingly common for home sellers and home buyers<\/span><span style=\"font-family: Arial;font-size: x-small\"> to want some, but not all, of the traditional brokerage services.\u00a0 For example,<\/span><span style=\"font-family: Arial;font-size: x-small\"> some sellers might want help advertising their homes, but want to negotiate<\/span><span style=\"font-family: Arial;font-size: x-small\"> the sale price themselves.\u00a0 Such consumers might prefer to pay a real estate <\/span><span style=\"font-family: Arial;font-size: x-small\">professional only for the service of listing their homes in the local MLS [multi-<\/span><\/p>\n<div><span style=\"font-family: Arial;font-size: x-small\">ple listing service] and placing advertisements in local media.\u00a0 Other consumers<\/span><span style=\"font-family: Arial;font-size: x-small\"> might find a buyer without assistance, but would like to hire a real estate professional to assist them with the negotiation of the sales price or with the<\/span><span style=\"font-family: Arial;font-size: x-small\"> paperwork required to close the transaction.\u00a0 The marketplace is evolving in response to these consumers.\u00a0 Real estate professionals who are willing to<\/span><span style=\"font-family: Arial;font-size: x-small\"> provide a customized subset or menu of <em>a la carte<\/em> services have emerged in Michigan and throughout the country.\u00a0 These &#8220;fee-for-service&#8221; or &#8220;menu-driven&#8221;<\/span><span style=\"font-family: Arial;font-size: x-small\"> business models are currently legal under Michigan law and typically enable consumers to save thousands of dollars because the consumers pay only for<\/span><span style=\"font-family: Arial;font-size: x-small\"> those services they want.&#8221;<\/span><\/div>\n<\/blockquote>\n<div><span style=\"font-family: Arial;font-size: x-small\"><span style=\"color: black\"><img decoding=\"async\" src=\"http:\/\/media-cyber.law.harvard.edu\/blogs\/static\/ethicalesq\/michiganN.gif\" alt=\"MichiganN\" \/> The legislation proposed in Michigan (HB 4849) would require brokers acting <\/span><\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\"><span style=\"color: black\">&#8220;pursuant to <\/span><\/span><span style=\"font-family: Arial;font-size: x-small\">a service provision agreement creating an exclusive agency relationship&#8221; to, <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">at a minimum,<\/span><span style=\"font-family: Arial;font-size: x-small\">provide (a) marketing services for the seller in the manner agreed upon in the <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">agreement; <\/span><span style=\"font-family: Arial;font-size: x-small\">(b) the acceptance of delivery and presentation of offers and counteroffers; (c) <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">assistance <\/span><span style=\"font-family: Arial;font-size: x-small\">in developing, communicating, negotiating, and presenting offers, counteroffers <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">and related <\/span><span style=\"font-family: Arial;font-size: x-small\">documents, until agreement is reached and all contingencies satisfied; (d) assis-<\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">tance <\/span><span style=\"font-family: Arial;font-size: x-small\">necessary to complete the transaction under the terms specified in the purchase <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">agree<\/span><span style=\"font-family: Arial;font-size: x-small\">ment; and (e) furnishing and completing the legally-required closing statement. <\/span><\/div>\n<div><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\"><span style=\"color: black\">FTC Chairman Deborah Platt Majoras noted:<\/span><\/span><\/div>\n<blockquote>\n<div><span style=\"font-family: Arial;font-size: x-small\"><\/p>\n<div dir=\"ltr\"><span style=\"font-family: Arial;font-size: x-small\">\u201cConsumers should have a choice in the level of real estate <\/span><\/div>\n<div dir=\"ltr\"><span style=\"font-family: Arial;font-size: x-small\">services that best meets their needs.\u00a0. . <\/span><span style=\"font-family: Arial;font-size: x-small\">The bill likely would <\/span><\/div>\n<div dir=\"ltr\"><span style=\"font-family: Arial;font-size: x-small\">take away lower-<\/span><span style=\"font-family: Arial;font-size: x-small\">price choices and also likely increase the <\/span><\/div>\n<div dir=\"ltr\"><span style=\"font-family: Arial;font-size: x-small\">prices of full-service <\/span><span style=\"font-family: Arial;font-size: x-small\">real estate services.\u201d<\/span><\/div>\n<p><\/span><\/div>\n<\/blockquote>\n<div><span style=\"font-family: Arial;font-size: x-small\">Thomas O. Barnett, Acting Assistant <span style=\"font-family: Arial;font-size: x-small\">Attorney General in charge of the DOJ\u2019s <\/span><\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\"><span style=\"font-family: Arial;font-size: x-small\">Antitrust Division, added: \u201cConsumers deserve to receive the full benefits of <\/span><\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\"><span style=\"font-family: Arial;font-size: x-small\">competition \u2013 greater choices and better services \u2013 in order to meet their real <\/span><\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\"><span style=\"font-family: Arial;font-size: x-small\">estate needs.\u201d\u00a0 In their joint submittal, the agencies point out that there is no <\/span><\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">evidence that options available in the current broker marketplace has caused <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">consumer injury. <\/span><\/div>\n<blockquote>\n<div><span style=\"font-family: Arial;font-size: x-small\">The <\/span><span style=\"font-family: Arial;font-size: x-small\"><em>f\/k\/a<\/em> gang wants to add that consumers always face some\u00a0 &#8220;emptypocketsS&#8221;<\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">level of potential risk, <\/span><span style=\"font-family: Arial;font-size: x-small\">when <\/span><span style=\"font-family: Arial;font-size: x-small\">they purchase <\/span><span style=\"font-family: Arial;font-size: x-small\">lower-priced products <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">or services, but they should be allowed <\/span><span style=\"font-family: Arial;font-size: x-small\">those choices, subject to <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">a strong showing that the risk is unacceptable.\u00a0 That is <\/span><span style=\"font-family: Arial;font-size: x-small\">especially <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">true in situations, like here, where consumers have such\u00a0varied needs <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">and <\/span><span style=\"font-family: Arial;font-size: x-small\">capacities (for example, many Americans are capable of drafting <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">their own fact <\/span><span style=\"font-family: Arial;font-size: x-small\">sheets, <em>and<\/em> printing them at-home,\u00a0and of talking\u00a0price <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">with potential buyers).\u00a0 Furthermore,\u00a0there is a <\/span><span style=\"font-family: Arial;font-size: x-small\">very real\u00a0risk that\u00a0any <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">mandated package includes unneeded services sold at an articifially <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">high\u00a0price. <\/span><span style=\"font-family: Arial;font-size: x-small\"> <\/span><\/div>\n<\/blockquote>\n<div><span style=\"font-family: Arial;font-size: x-small\"><span style=\"color: black\"><img decoding=\"async\" src=\"http:\/\/media-cyber.law.harvard.edu\/blogs\/static\/ethicalesq\/michiganG.gif\" alt=\"MichiganG\" \/> As <\/span><a href=\"http:\/\/www.markijlal.com\/archives\/2005\/10\/the_delphi_effe.htm\"><span style=\"color: black\">Mark Ijlal<\/span><\/a> <\/span><span style=\"font-family: Arial;font-size: x-small\">mentioned\u00a0at his weblawg last <\/span><span style=\"font-family: Arial;font-size: x-small\">week, many parts of <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">Michigan can expect to face housing <\/span><span style=\"font-family: Arial;font-size: x-small\">market slumps in the near future, due to <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">the <\/span><span style=\"font-family: Arial;font-size: x-small\">troubles of companies like Delphi and Ford, which will\u00a0bring countless <\/span><span style=\"font-family: Arial;font-size: x-small\">layoffs <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">and <\/span><span style=\"font-family: Arial;font-size: x-small\">immeasurable uncertainties.\u00a0 If Michigan&#8217;s Realtors have their way, those <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">forced to sell their homes\u00a0at the bottom of the market will\u00a0have fewer ways <\/span><span style=\"font-family: Arial;font-size: x-small\">to <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">save <\/span><span style=\"font-family: Arial;font-size: x-small\">money on brokerage services.\u00a0\u00a0But, they can feel <em>so good<\/em> about all <\/span><span style=\"font-family: Arial;font-size: x-small\">that <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">extra paternalistic <\/span><span style=\"font-family: Arial;font-size: x-small\">protection, courtesy of their smiling Realtors. <\/span><\/div>\n<div><\/div>\n<\/div>\n<blockquote>\n<div>\n<div dir=\"ltr\"><span style=\"font-family: Geneva,Arial,Sans-Serif;font-size: x-small\"><em>moving day<\/em><\/span><\/div>\n<div dir=\"ltr\"><span style=\"font-family: Geneva,Arial,Sans-Serif;font-size: x-small\"><em>the other men<\/em><\/span><\/div>\n<div dir=\"ltr\"><span style=\"font-family: Geneva,Arial,Sans-Serif;font-size: x-small\"><em>in her life<\/em><\/span><\/div>\n<div dir=\"ltr\"><\/div>\n<div dir=\"ltr\"><span style=\"font-family: Arial;font-size: x-small\"><span style=\"font-size: xx-small\"> <\/span><a href=\"http:\/\/blogs.law.harvard.edu\/ethicalesq\/2005\/03\/18#a3481\"><span style=\"font-family: Geneva,Arial,Sans-Serif;color: #ff0000;font-size: xx-small\">John Stevenson<\/span><\/a><span style=\"font-family: Geneva,Arial,Sans-Serif;font-size: x-small\"> <\/span><\/span><span style=\"font-family: Arial;font-size: x-small\"> <\/span><\/div>\n<\/div>\n<\/blockquote>\n<div><span style=\"font-family: Arial;font-size: x-small\">Ken Wallis,\u00a0chief legal adviser to Alabama&#8217;s <span style=\"color: black\">governor, <\/span><a href=\"http:\/\/www.1loansusa.com\/Real_Estate\/MortgageNews08_11_05\/news9.html\"><span style=\"color: black\">explained<\/span><\/a><span style=\"color: black\">,<\/span><\/span><span style=\"font-family: Arial;font-size: x-small\"><span style=\"color: black\"> it<\/span> &#8220;was just a <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">no-brainer&#8221; to approve their state&#8217;s\u00a0new real estate law, because <\/span><span style=\"font-family: Arial;font-size: x-small\">&#8220;The <\/span><span style=\"font-family: Arial;font-size: x-small\">average <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">seller has to <\/span><span style=\"font-family: Arial;font-size: x-small\">have additional assistance in a transaction.&#8221; Wallis added:<\/span><\/div>\n<blockquote>\n<div><span style=\"font-family: Arial;font-size: x-small\"> <\/span><span style=\"font-family: Arial;font-size: x-small\">&#8220;There are 100 things that the average seller does not know, and <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">somebody&#8217;s got to help them with it. It&#8217;s no different than paying a <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">doctor&#8217;s fee or a dentist&#8217;s fee. You&#8217;ve got to have those services and <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">the public benefits from having a good agent or broker to handle their <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">transaction for them. The governor&#8217;s interest in this matter was deciding <\/span><\/div>\n<div><span style=\"font-family: Arial;font-size: x-small\">if the law was in the best interests of the
