{"id":4083,"date":"2005-09-14T13:09:18","date_gmt":"2005-09-14T17:09:18","guid":{"rendered":"http:\/\/blogs.law.harvard.edu\/formerlyknownas\/2005\/09\/14\/not-just-nit-picking\/"},"modified":"2011-08-05T14:57:24","modified_gmt":"2011-08-05T18:57:24","slug":"not-just-nit-picking","status":"publish","type":"post","link":"https:\/\/archive.blogs.harvard.edu\/ethicalesq\/2005\/09\/14\/not-just-nit-picking\/","title":{"rendered":"not just NIT-picking"},"content":{"rendered":"<p><a name='a4799'><\/a><\/p>\n<blockquote><p>\n<DIV><FONT face=\"Arial\" size=\"2\">An email from <\/FONT><A href=\"http:\/\/thesportseconomist.com\/archive\/2005_09_01__arch_file.htm#112663892052914454\"><EM><FONT face=\"Arial\" size=\"2\">SportsEconomist<\/FONT><\/EM><\/A><FONT face=\"Arial\"><FONT size=\"2\"> Skip Sauer made me speculate on the purpose of the <\/FONT><\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\"><FONT size=\"2\">NCAA in <\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">seeking to eliminate the NIT as a tournament rival.&nbsp; Although a &#8220;not-for-profit&#8221; <\/FONT><\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\"><FONT size=\"2\">entity, <\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">NCAA has a<FONT color=\"black\"> <\/FONT><\/FONT><\/FONT><A href=\"http:\/\/www.indystar.com\/apps\/pbcs.dll\/article?AID=\/20050817\/SPORTS\/508170421\"><FONT face=\"Arial\" color=\"black\" size=\"2\">$6.2 billion, 11-year contract with CBS<\/FONT><\/A><FONT face=\"Arial\" size=\"2\"> for television and marketing <\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\" size=\"2\">rights to <\/FONT><FONT face=\"Arial\" size=\"2\">its tournament. (see our <A href=\"http:\/\/blogs.law.harvard.edu\/ethicalesq\/discuss\/msgReader$4785?mode=topic\">prior post<\/A>)<\/FONT><\/DIV><br \/>\n<DIV dir=\"ltr\">&nbsp;<\/DIV><br \/>\n<DIV dir=\"ltr\"><br \/>\n<DIV><FONT face=\"Arial\"><FONT size=\"2\"><img decoding=\"async\" src=\"http:\/\/media-cyber.law.harvard.edu\/blogs\/static\/ethicalesq\/ballHoop.gif\" alt=\"ballHoop\" \/>&nbsp; The folks who run&nbsp;nominally &#8220;non-profit&#8221; institutions (can you say &#8220;<A href=\"http:\/\/blogs.law.harvard.edu\/ethicalesq\/stories\/storyReader$3744\"><FONT color=\"black\">bar &amp; guild<\/FONT><\/A>&#8220;?)&nbsp;<\/FONT><\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\"><FONT size=\"2\">have the incentive to create <\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">rules <\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">and relationships <\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">among&nbsp;their members that will maximize <\/FONT><\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\"><FONT size=\"2\">the income of all&nbsp;those <\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">members &#8212; <\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">especially when <\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">they convince themselves that they are <\/FONT><\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\"><FONT size=\"2\">acting for&nbsp;a very good <\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">cause, such as <\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">education. [Adam <\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">Smith&#8217;s <\/FONT><A href=\"http:\/\/en.thinkexist.com\/quotation\/people_of_the_same_trade_seldom_meet_together\/145519.html\"><FONT size=\"2\">axiom<\/FONT><\/A><FONT size=\"2\">&nbsp;certainly&nbsp;doesn&#8217;t have <\/FONT><\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\"><FONT size=\"2\">an exception for non-<\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">profits<\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">.] &nbsp;Using market <\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">power against potential or actual rival groups, or <\/FONT><\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\"><FONT size=\"2\">eliminating them <\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">through<\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">acquisition or entry <\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">barriers,&nbsp;is a <EM>very<\/EM> good way to maximize income.&nbsp; <\/FONT><\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\"><FONT size=\"2\">Of course, the <\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">NCAA&#8217;s <\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">leaders <\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">also have the <\/FONT><\/FONT><FONT face=\"Arial\"><FONT size=\"2\">normal human desire to increase their domain.<\/FONT><\/FONT><\/DIV><br \/>\n<DIV>&nbsp;<\/DIV><br \/>\n<DIV><FONT face=\"Arial\" size=\"2\">Also, responding to my post yesterday,&nbsp;<\/FONT><A href=\"http:\/\/www.professorbainbridge.com\/2005\/09\/sports_antitrus.html\"><FONT face=\"Arial\" size=\"2\">Steve Bainbridge wrote<\/FONT><\/A><FONT face=\"Arial\" size=\"2\">:&nbsp;&nbsp;<\/FONT><\/DIV><br \/>\n<BLOCKQUOTE><br \/>\n<DIV dir=\"ltr\" style=\"MARGIN-RIGHT: 0px\"><EM><FONT face=\"Arial\" size=\"2\">&#8220;I sort of vaguely recall such a time [when NIT was a <\/FONT><FONT face=\"Arial\" size=\"2\">vigorous competitor with the <\/FONT><\/EM><\/DIV><br \/>\n<DIV dir=\"ltr\" style=\"MARGIN-RIGHT: 0px\"><EM><FONT face=\"Arial\" size=\"2\">NCAA], but if David&#8217;s point is that there ought to be some competition <\/FONT><FONT face=\"Arial\" size=\"2\">to be stifled <\/FONT><\/EM><\/DIV><br \/>\n<DIV dir=\"ltr\" style=\"MARGIN-RIGHT: 0px\"><FONT face=\"Arial\" size=\"2\"><EM>before one concludes that a merger is anit-competitive, I have to agree. Stick a fork <\/EM><\/FONT><\/DIV><br \/>\n<DIV dir=\"ltr\" style=\"MARGIN-RIGHT: 0px\"><FONT face=\"Arial\" size=\"2\"><EM>in the NIT; it&#8217;s done.&#8221;<\/EM>&nbsp; <\/FONT><\/DIV><\/BLOCKQUOTE><br \/>\n<DIV><FONT face=\"Arial\" size=\"2\">That&#8217;s a little cavalier, even from the perspective of a West Coaster with little empathy for fans in&nbsp; &#8220;bballguysNF&#8221;<\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\" size=\"2\">New <\/FONT><FONT face=\"Arial\" size=\"2\">York City.&nbsp; The fact that the National Invitational Tournament&nbsp;has been reduced over the years &#8212; <\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\" size=\"2\">thanks in great part to the actions and policies of the NCAA &#8212; to a&nbsp;mere David competing with tiny <\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\" size=\"2\">stones&nbsp;against&nbsp;the NCAA&nbsp;Goliath makes a merger investigation even <EM>more<\/EM> important.&nbsp;&nbsp;(See the <\/FONT><\/DIV><br \/>\n<DIV><A href=\"http:\/\/www.usdoj.gov\/atr\/public\/guidelines\/hmg.htm#15\"><FONT face=\"Arial\" size=\"2\">market concentration<\/FONT><\/A><FONT face=\"Arial\" size=\"2\"> section of the&nbsp;<\/FONT><A href=\"http:\/\/www.usdoj.gov\/atr\/public\/guidelines\/hmg.htm\"><EM><FONT face=\"Arial\" color=\"#000000\" size=\"2\">DOJ\/FTC Horizontal Merger Guidelines<\/FONT><\/EM><\/A><FONT face=\"Arial\" size=\"2\">; yes, Steve, I know <\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\" size=\"2\">there&nbsp;were&nbsp;product and geographic market definitions questions in the case.)&nbsp; &nbsp;Clearly, there is still <\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\" size=\"2\">&#8220;some competition&#8221; between the two post-season tournaments (as the $40.6 million offer to buy <\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\" size=\"2\">the NIT suggests), and removing&nbsp;NIT completely will not only extinguish the only current rival, it will <\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\" size=\"2\">make the likelihood of a new entrant into the pre- or post-season basketball tournament arena <\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\" size=\"2\">virtually <\/FONT><FONT face=\"Arial\" size=\"2\">zero.&nbsp;&nbsp; <\/FONT><\/DIV><br \/>\n<DIV>&nbsp;<\/DIV><br \/>\n<DIV><FONT face=\"Arial\" size=\"2\">Of course, ending the litigation also&nbsp;keeps the court from&nbsp;assessing the legality of the NCAA&#8217;s <\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\" size=\"2\">restrictive post-season rules for member schools.<\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Arial\" size=\"2\"><\/FONT>&nbsp;<\/DIV><br \/>\n<BLOCKQUOTE><br \/>\n<DIV><FONT face=\"Times New Roman,Times,Serif\" size=\"2\">&#8220;bBallGuysN&#8221;
