(see Model <\/FONT><A href=\"http:\/\/www.abanet.org\/cpr\/mrpc\/rule_1_5.html\"><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">Rule 1.5<\/FONT><\/A><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">(e) re <\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">division of fees; <\/FONT><A href=\"http:\/\/www.lawcost.com\/abastatements.htm\"><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">Principles<\/FONT><\/A><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\"> on Staffing)<\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\"><\/FONT>&nbsp;<\/DIV><br \/>\n<DIV><FONT color=\"black\"><FONT face=\"Times New Roman,Times,Serif\" size=\"2\">&#8220;complaint Bill&#8221;&nbsp; &#8220;It is the <EM>obligation<\/EM> of the lawyer and law firm to <\/FONT><\/FONT><\/DIV><br \/>\n<DIV><FONT color=\"black\"><FONT face=\"Times New Roman,Times,Serif\" size=\"2\">assure that <\/FONT><\/FONT><FONT color=\"black\"><FONT face=\"Times New Roman,Times,Serif\"><FONT size=\"2\">the <EM>client fully understands and agrees to the basis for <\/EM><\/FONT><\/FONT><\/FONT><\/DIV><br \/>\n<DIV><FONT color=\"black\"><FONT face=\"Times New Roman,Times,Serif\"><FONT size=\"2\"><EM>billing for disbursements<\/EM> and other charges.&#8221;&nbsp; This includes <\/FONT><\/FONT><\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">&#8220;whether <EM>overhead other than direct charges<\/EM> paid to the <\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">vendor are included.&#8221;&nbsp;&nbsp;&nbsp;<\/FONT><A href=\"http:\/\/www.lawcost.com\/abastatements.htm\"><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">Principles<\/FONT><\/A><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">&nbsp;on Disbursements\/Costs.<\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\"><\/FONT>&nbsp;<\/DIV><br \/>\n<DIV><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">A lawyer shall not make an agreement for, charge, <\/FONT><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">or collect . . . <\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">an <EM>unreasonable amount for expenses<\/EM>&#8221; (Rule 1.5 <\/FONT><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">(a)), but may <\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">only charge&nbsp;&#8220;a reasonable amount to which the client <\/FONT><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">has <EM>agreed <\/EM><\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\"><EM>in advance or<\/EM> . . . an amount that reasonably reflects <\/FONT><FONT color=\"black\"><FONT face=\"Times New Roman,Times,Serif\"><FONT size=\"2\"><EM>the cost <\/EM><\/FONT><\/FONT><\/FONT><\/DIV><br \/>\n<DIV><FONT color=\"black\"><FONT face=\"Times New Roman,Times,Serif\"><FONT size=\"2\"><EM>incurred<\/EM> by the lawyer.&#8221; (<\/FONT><\/FONT><\/FONT><A href=\"http:\/\/www.abanet.org\/cpr\/mrpc\/rule_1_5_comm.html\"><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">Comment [1]<\/FONT><\/A><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\"> to Rule 1.5)<\/FONT><\/DIV><\/BLOCKQUOTE><br \/>\n<DIV><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">A law firm wouldn&#8217;t charge a client a &#8220;profit margin&#8221; above the fee of an expert <\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">consultant or witness, and therefore should not do so with fees for outsourced <\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">legal services.&nbsp; If it chooses, it might allocate reasonable overhead for arranging <\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">the outsourcing (which is a &#8220;cost&#8221; to the firm), but it is difficult to imagine that this <\/FONT><\/DIV><br \/>\n<DIV><FONT face=\"Times New Roman,Times,Serif\" color=\"black\" size=\"2\">amount is anything but <EM>de <\/EM><EM>minimis<\/EM>.
